Terms of Use Agreement

Effective October 19, 2007

The networking Website www.StoryLink.com was created to facilitate Members' communications and Content-sharing within a network of creative communities, and to share and discuss original creative works ("Work") and provide access to Services offered via StoryLink.com ("StoryLink") ,which includes but is not limited to, the StoryLink.com Website ("Website" and "StoryLink.com" at times), the StoryLink.com private messaging system, StoryLink communities, including but not limited to the Pitch Perfect Community, and any other features, content, or applications offered by StoryLink, StoryLink's affiliates and StoryLink's unaffiliated Service Providers ("Service Providers") in connection with the Website ("Services").

This Terms of Use Agreement sets forth the legally binding terms for your use of the Services. By using the Services, you understand and agree to these Terms, whether you are a "Visitor" or a registered "Member" ("Terms of Use"). As a Visitor, one who simply navigates the public areas of StoryLink.com and views the information thereon, you nevertheless agree to be bound by these Terms of Use. In order to participate further in any website activity, by way of example and not by way of limitation, posting a comment, listing an event, joining a group, using a feature, etc., and thereby activate Member privileges, you must register as a Member and, during registration read and agree to be bound by this Agreement as part of the registration process. Member must login using "Login Credentials." The term "Login Credentials" refers to a valid email address, which you hereby accept as your official address for notice purposes and which you agree will at all times be an active monitored email address, and password. If, as a Visitor or Member, you do not agree you should immediately leave the StoryLink.com Website and discontinue use of the Services.

This Agreement includes StoryLink's policy for acceptable use of the Services and Content posted on the Website, your rights, obligations and restrictions regarding your use of the Services and StoryLink's Privacy Policy which is made a part of this agreement as if set forth fully herein (available to view at www.storylink.com/page/privacy.) In order to participate in certain Services, you may be required to download software or content and/or agree to additional terms and conditions. Those additional terms are hereby incorporated into this Agreement. You may request a copy of applicable terms and conditions, if not supplied at applicable registration or use, by visiting the "Contact Us" area of the Website.

StoryLink may modify the Website and its subsites, including by way of example and not limitation, Pitch Perfect, and its Services, and this Agreement at any time without prior notice, and such modification shall be effective upon posting by StoryLink on the Website. Your continued use of the Website and Services indicates your acceptance of the amended Agreement. The term "User" refers to both Visitor and Member.

You agree to carefully and thoughtfully post data on StoryLink.com, recognizing that it will be provided to other Users. You agree that you will NOT include the following information in your StoryLink public profile: telephone numbers, street addresses, personal information you wish not to become part of the public domain, objectionable information or content and any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter, and agree that any posting in violation of this provision may be removed by StoryLink in StoryLink's sole and absolute discretion. You acknowledge that: (a) despite this prohibition, information provided by other StoryLink Members might contain inaccurate, inappropriate, offensive or sexually explicit material, products or services; and (b) that StoryLink in no way controls, verifies, or endorses any of the information contained on or in the Website and (c) that StoryLink assumes no responsibility or liability for material posted by others on the Website. Your Profile must describe you as an individual. Examples of inappropriate profiles include, but are not limited to, profiles that purport to represent an animal, place, inanimate object, fictional character, or individual who is not you. Please contact StoryLink or click on the "Report Improper Content" link at the bottom of any StoryLink page if you become aware of any misuse of Service.

StoryLink is not responsible for any original creative Work Members post on the Website and make no representations or warranties as to the origins or derivations of such Works. Work posted on the Website can be viewed and copied by Members and public areas of the Website can include private groups. Posting Members are encouraged to register their original creative copyrighted work with agencies such as the Writers Guild, United States Copyright Office or National Creative Registry, or any other recognized copyright/registration agency and verification of registry should be submitted with the Work. If you create original Work directly while on the Website, you are responsible for copying the Work to your own computer for safekeeping. Members retain ownership of all original Work posted in the private areas of the Website.

Public areas of the Website are such areas that can be viewed by all Members and Visitors, including private groups. Private areas of the Website includes files uploaded into a Member's account that are not posted publicly, original Work created on the Website that is not posted publicly or within Member's private group.

STORYLINK RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO REJECT, REFUSE TO POST OR REMOVE ANY POSTING (INCLUDING EMAIL OR CREATIVE WORK) BY YOU, OR TO RESTRICT, SUSPEND, OR TERMINATE YOUR ACCESS TO ALL OR ANY PART OF THE SERVICES AT ANY TIME, FOR ANY OR NO REASON, WITH OR WITHOUT PRIOR NOTICE, AND WITHOUT LIABILITY.

1. Eligibility

Use of and Membership in the Services is void where prohibited by law. By using the Services, you represent and warrant that (a) all registration information you submit is truthful and maintained to be accurate; (b) you are at least 16 years of age; and (c) your use of the Services does not violate any applicable law or regulation. Your profile may be deleted and your Membership privileges may be terminated without warning, if we believe that you are less than 16 years of age or have made any material misrepresentation.

2. Term

This Agreement shall remain in full force and effect while you use the Services or are a Member. You may terminate your Membership at any time, for any reason. StoryLink may terminate your Membership at any time, without warning and for any reason. Even after Membership is terminated, this Agreement shall remain in full force and effect.

3. Fees

The use of StoryLink is free to its Members. However, StoryLink reserves the right to charge for the Services and to change fees for other Services from time to time in its discretion. If StoryLink terminates your Membership because you have breached the Agreement, you shall not be entitled to the refund of any unused portion of subscription fees.

4. Password

To use Service, Members are required to select a password. You are responsible for maintaining the confidentiality of and will not disclose to any third party your login credentials. You agree not to use the account or login credentials of another Member at any time. You agree to notify StoryLink immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

5. Non-commercial Use by Members

The Services are for the personal use of individual Members only and may not be used in connection with any commercial endeavors except when endorsed and expressly approved by StoryLink. Illegal and/or unauthorized use of the Services, including collecting names and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership. Unauthorized framing of or linking to the Web site will be investigated, and appropriate legal action will be taken, including, without limitation, civil, criminal and injunctive redress.

6. Proprietary Rights in Content on StoryLink

* By displaying or publishing ("posting") in any area any Work, Content, messages, text, files, images, photos, video, profiles, works of authorship, or any other materials (collectively "Content") on or through the Services, you hereby grant to StoryLink a non-exclusive, fully-paid and royalty-free, worldwide license (with the right to sublicense through unlimited levels of sublicenses) to use, copy, modify, adapt, translate, publicly perform, publicly display, store, reproduce, transmit, and distribute such Content on and through the Services. This license as to future use will terminate at the time you remove such Content from the Services. You represent and warrant that: (i) you own the Content posted by you on or through the Services or otherwise have the right to grant the license set forth in this section, and (ii) the posting of your Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for all damages, royalties, fees, and any other monies owing any person or costs incurred by StoryLink by reason of any Content posted by you to or through the Services.

* Trademarks, Copyrights, Patents and Restrictions: All materials on this Site, including but not limited to, all media, screenplays, trailers, printed matter, images, closed captioning and related information, names, characters, logos, or other images are or may be protected by copyrights, trademarks and patents which are owned and controlled by StoryLink, its affiliates, other parties that have licensed to StoryLink the right to use their material, and other users of the Site ("Proprietary Rights"). Except as explicitly permitted, on a case-by-case and use-by-use basis, by the respective owner of the Proprietary Rights, material from StoryLink.com may not be copied, quoted, reproduced, republished, displayed, modified, broadcasted, transmitted, or distributed in any way. Nothing contained in this User Agreement shall purport to convey any ownership or other rights with respect to the Proprietary Rights. You hereby covenant that you will not "steal" or otherwise copy, derive works, modify, distribute, or misappropriate, in whole or in part, or make any confusingly similar variant, any of the materials and information contained on the Website and/or the "platform" or methods that StoryLink use to offer and perform its service, including without limitation, via electronic means (such as "spiders" or other electronic information-gathering processes).

* The Services contain Content of Users and other StoryLink licensors. Except for Content and original Work posted by you, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through the Services.

7. Content Posted

* StoryLink may delete any Content that in the sole judgment of StoryLink violates this Agreement or which may be offensive, illegal or violate the rights, harm or threaten the safety of any person. StoryLink assumes no responsibility for monitoring the Services for inappropriate Content or conduct. If at any time StoryLink chooses, in its sole discretion, to monitor the Services, StoryLink nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content.

* You are solely responsible for the Content that you post on or through any of the Services, and any material or information that you transmit to other Members and for your interactions with other Users. StoryLink does not endorse and has no control over the Content. Content is not necessarily reviewed by StoryLink prior to posting and does not necessarily reflect the opinions or policies of StoryLink. StoryLink makes no warranties, express or implied, as to the Content or to the accuracy or reliability of the Content or any material or information that you transmit to other Members.

8. Prohibited Content and/or Activity

The following represents a partial list of the kind of Content that is illegal or prohibited to post on or through the Services. StoryLink reserves the right to investigate and take appropriate legal action against anyone who, in StoryLink's sole discretion, violates this provision, including without limitation, removing the offending communication from the Services and terminating the Membership of such violators. Prohibited Content includes, but is not limited to Content that, in the sole discretion of StoryLink:

* is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;

* harasses or advocates harassment of another person;

* exploits people in a sexual or violent manner;

* contains nudity, violence, or offensive subject matter;

* solicits personal information from anyone under 18;

* provides any telephone numbers, street addresses, last names, URLs or email addresses;

* promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;

* copies or promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or links to pirated music files, or providing pirated video or links to pirated video files;

* involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";

* contains restricted or password-only access pages or hidden pages or images (those not linked to or from another accessible page);

* furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;

* solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;

* involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;

* includes a photograph of another person that you have posted without that person's consent;

* uses sexually suggestive imagery or any other unfair, misleading or deceptive Content intended to draw traffic to the profile;

* appropriates the name, likeness, e-mail address, or other personally identifiable information of another individual.

Even though all of the above is strictly prohibited, there is a possibility that you might become exposed to such items and you agree to report the infraction and you further waive your right to any damages (from any party) related to such exposure.

The following is a partial list of the kind of activity that is illegal or prohibited on the Website and through your use or offering of the Services. StoryLink reserves the right to investigate and take appropriate legal action against anyone who, in StoryLink's sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities. Prohibited activity includes, but is not limited to:

* criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;

* advertising to, or solicitation of, any Member to buy or sell any products or services through the Services. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from the Services in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, StoryLink reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which StoryLink deems appropriate in its sole discretion. If you breach this Agreement and send unsolicited bulk email, instant messages or other unsolicited communications of any kind through the Services, you acknowledge that you will have caused substantial harm to StoryLink, but that the amount of such harm would be extremely difficult to ascertain. In view of the difficulty of estimating likely actual damages at this time, as reasonable liquidated damages you agree to pay StoryLink $50 for each such unsolicited email or other unsolicited communication you send through the Services;

* covering or obscuring the banner advertisements on your personal profile page, or any StoryLink page via HTML/CSS or any other means;

* any automated use of the system, such as using scripts to add Members;

* interfering with, disrupting, or creating an undue burden on the Services or the networks or services connected to the Services;

* attempting to impersonate another Member or person;

* using the account, or login credentials of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;

* selling or otherwise transferring your profile;

* using any information obtained from the Services in order to harass, abuse, or harm another person; or

* using the Services in a manner inconsistent with any and all applicable laws and regulations.

StoryLink reserves the right to refuse the Service to any User.

9. Copyright Policy

You may not post, modify, distribute, or reproduce in any way any Proprietary Rights, copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights.

It is the policy of StoryLink to terminate Membership privileges of any Member who infringes the copyright rights of others upon receipt of prompt notification to StoryLink by the copyright owner or the copyright owner's legal agent.

Without limiting the foregoing, if you believe that your Proprietary Rights have been copied and posted on the Services in a way that constitutes copyright infringement, report the event to us in the "Contact Us" area of the Website, including the following information:

* an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest

* a description of the copyrighted work that you claim has been infringed

* a description of where the material that you claim is infringing is located on the Website

* your address, telephone number, and email address

* a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law

* a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

StoryLink will make reasonable effort to terminate any infringement. Notwithstanding the foregoing, StoryLink shall not be held liable for the public disclosure of any Work posted on the Website or in the Pitch Perfect Community and Member assumes all risk and liability associated with such infringement.

10. Member Disputes

You are solely responsible for your interactions with other StoryLink Users. StoryLink reserves the right, but has no obligation, to monitor disputes between you and other Users. Storylink may in its sole option and discretion, take affirmative action in disputes between members if it feels that to be in the best interests of StoryLink.

11. Privacy

Use of the Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference and as if set forth fully, and the most recent version can be viewed at any time at www.storylink.com/page/privacy.

12. Services

As part of the Services provided by STORYLINK, Members and Guests may access and utilize the Service of registered Service Providers. STORYLINK makes no representation as to the qualifications or competency or fitness of a particular Service for any purpose of such Service Providers. StoryLink merely provides a forum and at times charges a fee for such forum for Service Providers to list their Services. In the event a Member or Guest desires to utilize the services of a Service Provider, it does so at its own risk. Members are encouraged to verify the credentials and qualifications of a Service Provider prior to utilizing the Services. Members and Guests should take whatever action they deem necessary to protect any property rights they may have before sharing any material with a Service Provider. STORYLINK processes all payments by Members to the Service Providers, but otherwise has no involvement in the performance of the Services and this arrangement should in no way be construed as creating a relationship between StoryLink and User, or between Storylink and Service Provider. Each Member agrees to hold STORYLINK harmless from any and all claims, actions, causes of actions, liability, costs, damages, demands, debts, obligations of any nature, whether known or unknown, suspected or unsuspected, arising out of, or in connection with a Member's use of the Services and, further, releases STORYLINK from any such claims or liability, whether known or unknown, suspected or unsuspected. StoryLink makes no warranty, either express or implied, as to the reputability or fitness for a particular purpose, for any service provided by any Service Provider on the StoryLink website. This Hold Harmless and Release is material consideration for STORYLINK allowing Members or Guests to use the STORYLINK website and access the Services.

13. Disclaimers

StoryLink is not responsible for any incorrect or inaccurate Content posted on the Website or in connection with the Services provided, whether caused by Users of the Services or by any of the equipment or programming associated with or utilized in the Services. StoryLink Member profiles may contain links to other websites. StoryLink is not responsible for the Content, accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by StoryLink.

Inclusion of any linked website on StoryLink does not imply approval or endorsement of the linked website by StoryLink. When you access these third-party sites, you do so at your own risk. StoryLink takes no responsibility for third party advertisements which are posted on this Website or through the Services, nor does it take any responsibility for the goods or services provided by its advertisers. StoryLink is not responsible for the conduct, online or offline, of any User of the Services. StoryLink assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Member communication. StoryLink is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the Services or combination thereof, including any injury or damage to Users or to any person's computer related to or resulting from participation or downloading materials in connection with the Services. Under no circumstances shall StoryLink be responsible for any loss or damage, including personal injury or death, resulting from use of the Services, attendance at a StoryLink event, from any Content posted on or through the Services, or from the conduct of any Users of the Services, whether online or offline. The Services are provided "AS-IS" and as available and StoryLink expressly disclaims any warranty of fitness for a particular purpose or non-infringement. StoryLink cannot guarantee and does not promise any specific results from use of the Services.

14. Limitation on Liability

You understand and agree that you use the Site and the material it contains at your own discretion and risk. You agree that you will not hold StoryLink responsible for other users' actions or inactions, including with respect to the materials and information they post on or submit to or in connection with the Site.

YOU UNDERSTAND AND AGREE THAT THE SERVICES AND MATERIALS ON THIS SITE ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, STORYLINK DISCLAIMS ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, REGARDING THE SECURITY, RELIABILITY, AND PERFORMANCE OF THE STORYLINK SITE (INCLUDING THE SERVER THAT MAKES IT AVAILABLE) AND ANY CONTENT IN CONNECTION THEREWITH, AND ANY WARRANTY OF NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR ANY PARTICULAR PURPOSE. YOU AGREE THAT, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, IN NO EVENT SHALL STORYLINK OR ANY OF ITS PRINCIPALS, OWNERS, PARENTS, SUBSIDIARIES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES, AGENTS, ATTORNEYS, JOINT VENTURERS, CONTRACTORS, CONSULTANTS, SUPPLIERS AND OTHER AFFILIATES, BE LIABLE FOR ANY DIRECT, CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, COMPUTER FAILURE OR MALFUNCTION OR OTHERWISE, WHETHER IN CONTRACT, TORT OR ANY OTHER LEGAL THEORY, ARISING FROM OR RELATING TO USE OF OR ACCESS TO THE STORYLINK SITE, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. NOTWITHSTANDING THE FOREGOING, IF STORYLINK IS FOUND TO BE LIABLE, OUR LIABILITY TO YOU OR ANY THIRD PARTY SHALL BE LIMITED TO THE GREATER OF (A) THE TOTAL FEES YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, AND (B) ONE HUNDRED DOLLARS (U.S. $100).

15. U.S. Export Controls

Software available in connection with the Services ("Software") is further subject to United States export controls. No Software may be downloaded from the Services or otherwise exported or re-exported in violation of U.S. export laws. By downloading or using the Software, you represent and warrant that such download or use is not in violation of any such law.

16. Disputes and Choice of Law

If there is any dispute about or involving the Services, you agree that the dispute shall be governed by the laws of the State of California without regard to conflict of law provisions and you agree to personal jurisdiction by and venue in the state and federal courts of the State of California, City of Los Angeles. Either StoryLink or you may demand that any dispute between StoryLink and you arising out of this Agreement must be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in Los Angeles, California. Notwithstanding the demand for Arbitration by either party, it is agreed that the Arbiter shall apply the laws of State of California.

17. Indemnity

You agree to indemnify, defend, and hold StoryLink, its subsidiaries, and affiliates, and its principals, owners, parents, subsidiaries, officers, directors, shareholders, employees, representatives, agents, attorneys, joint ventures, contractors, consultants, suppliers and other affiliates, harmless from any loss, liability, claim, or demand, including attorneys' fees and costs, made by any third party due to or arising out of your use of the Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the Website or through the Services causes StoryLink to be answerable or liable to another.

18. Data Reporting

You understand and agree that StoryLink will use aggregated data collected from you and other users for statistical and analytical reporting purposes. You understand, and agree that, unless expressly stated, StoryLink in no way controls, verifies, or endorses any of the information contained on or in the StoryLink Service, including links, events, messages, message boards and members' published listings. StoryLink's Privacy Policy can be viewed at www.storylink.com/page/privacy or please for any questions about this subject please visit the "Contact Us" area of the Website.

19. Other

This Agreement is accepted by and upon your use of the Website or any of the Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire Agreement between you and StoryLink regarding the use of the Services. The failure of StoryLink to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision or any other right or provision contained herein. The section titles in this Agreement are for convenience only and have no legal or contractual effect. StoryLink is a trademark of The Writers' Computer Store LLC. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

20. Global Nature of the Internet

Recognizing the global nature of the Internet, you agree to comply with all rules regarding online conduct and use of this Site. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside. StoryLink makes no representation that materials on this Site are appropriate or available for use in locations outside of the United States, and accessing them from territories where their contents are illegal is prohibited.

21. Notice for California Users

Under California Civil Code Section 1789.3, you are entitled to the following specific consumer rights information:

(b) Complaints. The procedures that you may follow in order to resolve a complaint regarding this Site or products/services purchased from StoryLink are as follows: Contact the California Department of Consumer Affairs to resolve a complaint. The Complaint Assistance Unit of the Division of Consumer Services of the Department of Consumer Affairs may be contacted in writing at 1020 N.
